DigiPay.Guru provides a cloud-native digital wallet and financial technology platform designed to help small and medium enterprises (SMEs) manage digital payments, financial operations, and related services through an end-to-end solution.
Core Services include but are not limited to:
- Digital wallet infrastructure and management.
- Payment processing, routing, and settlement.
- KYC (Know Your Customer) and AML (Anti-Money Laundering) compliance tools.
- API integrations for third-party financial services.
- Business analytics, reporting, and transaction dashboards.
- Multi-currency and cross-border payment facilitation.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice, except where required by law to provide immediate notice.
User Accounts
Account Registration
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
Account Security
You are solely responsible for maintaining the confidentiality of your login credentials, including your username, password, and any multi-factor authentication tokens. You agree to:

- Use the Platform for any fraudulent, deceptive, or illegal activity, including money laundering or financing of terrorism.
- Attempt to gain unauthorized access to any portion of the Platform or any related systems or networks.
- Introduce any virus, malware, spyware, ransomware, or other harmful code into the Platform.
- Use automated tools, bots, or scripts to scrape, crawl, or extract data from the Platform without prior written consent.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Transmit any unsolicited or unauthorized advertising or promotional material.
- Interfere with or disrupt the integrity or performance of the Platform or the data contained therein.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any component of the Platform.
Intellectual Property
Our Intellectual Property
All content, features, and functionality available on the Platform — including but not limited to software, code, text, graphics, logos, icons, images, audio clips, data compilations, and the overall design and layout — are the exclusive property of Digipay Guru Pvt Ltd or its licensors and are protected by applicable copyright, trademark, patent, and other intellectual property laws.
Limited License
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your internal business purposes in accordance with these Terms. This license does not include the right to:
- Reproduce, distribute, or publicly display any content from the Platform.
- Modify or create derivative works based on any Platform content.
- Use any data mining, robots, or similar data gathering or extraction methods.
- Use the Platform's name, logo, or branding without our prior written consent.
Your Content
You retain ownership of any data or content you submit to the Platform ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free license to use, process, and store such content solely to the extent necessary to provide and improve the Services.
Payment Terms
Access to certain features of the Platform may require payment of fees as specified in your service agreement or order form. By subscribing to a paid plan, you agree to the following:
- All fees are quoted in the currency specified in your agreement and are exclusive of applicable taxes unless stated otherwise.
- Payments are due in accordance with the billing cycle specified in your service plan (monthly, annual, or as agreed).
- We reserve the right to suspend Services if payment obligations are not met within the specified grace period.
- Refunds, if applicable, are subject to the terms of your individual service agreement.
- You are responsible for any bank charges, foreign exchange fees, or other transaction costs associated with your payments.
We reserve the right to revise our pricing at any time. Any price changes will be communicated to you with at least 30 days' prior notice before taking effect.
Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party in connection with these Terms ("Confidential Information"). Each party agrees to:
- Use Confidential Information only for the purposes of exercising rights or fulfilling obligations under these Terms.
- Protect Confidential Information with at least the same degree of care used to protect its own confidential information (but no less than reasonable care).
- Restrict access to Confidential Information to personnel who have a need-to-know basis and who are bound by appropriate confidentiality obligations.
Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by applicable law or court order.
Disclaimers and Warranties
We do not warrant that:
- The Platform will be uninterrupted, error-free, or completely secure.
- Any errors or defects in the Platform will be corrected.
- The Platform or the servers that make it available are free of viruses or other harmful components.
- The results of using the Platform will meet your specific requirements or expectations.
We make no representations or warranties regarding the accuracy, reliability, or completeness of any content available on the Platform. We are not responsible for any financial decisions made based on information or tools provided through the Platform.
Limitation of Liability
To the maximum extent permitted by applicable law, Digipay Guru Pvt Ltd, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, revenue, data, goodwill, or business opportunities.
- Any unauthorized access to or alteration of your data or transmissions.
- Any service interruptions, errors, or failures beyond our reasonable control.
- Any third-party conduct or content accessed through the Platform.
Our aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Digipay Guru Pvt Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms.
- Your use of the Platform or Services.
- Any content you submit, post, or transmit through the Platform.
- Your violation of any rights of a third party, including intellectual property or privacy rights.
- Any fraudulent, illegal, or harmful activities conducted through your account.
Termination
Termination by You
You may terminate your account and discontinue use of the Services at any time by contacting us at support@digipay. Termination of your account does not relieve you of any payment obligations that may have accrued prior to termination.
Termination by Us
We reserve the right to suspend or terminate your access to the Platform at our sole discretion, with or without notice, for:
- Breach or violation of these Terms or any applicable policies.
- Suspected fraudulent, abusive, or illegal activity.
- Failure to pay fees when due.
- Requests by law enforcement or government agencies.
- Cessation of the Services or the Platform in whole or in part.
Effect of Termination
Upon termination, your right to access and use the Platform will immediately cease. We will handle your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
Dispute Resolution Process
- Informal Resolution: Prior to initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at support@digipay.guru
- Arbitration: If informal resolution fails within 30 days, disputes shall be submitted to binding arbitration in Ahmedabad under the Arbitration and Conciliation Act, 1996.
- Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you by email or through a prominent notice on the Platform.
- For material changes, provide at least 30 days' notice before the new terms take effect.
